Goodyear Tire & Rubber Company has announced the sale of the Dunlop brand to Sumitomo Rubber Industries (SRI) for an amount of 701 million dollars. This agreement includes the rights to trademarks and intangible assets necessary for operations in Europe, North America and Oceania, and is part of the Goodyear Forward strategic plan.
Strategic agreement: Goodyear and Sumitomo Rubber Industries
The transaction, subject to regulatory approvals, includes the transfer of the Dunlop brand and certain associated intellectual property. SRI will gradually assume operational control of the brand in Europe, ensuring service continuity through a transition agreement with Goodyear that will last at least until the end of 2025.
Transaction details and financial conditions
The agreement has three main components:
- Payment for the Dunlop brand: SRI will pay $526 million for the rights to the brand and its intellectual property.
- Transition fee: A $105 million payment to ensure a smooth transition of customers and operations.
- Purchase of inventories: SRI to acquire Dunlop's tire stock for an estimated $70 million
Additionally, Goodyear will continue to manufacture and distribute certain Dunlop tires during the transition period, with a minimum annual volume of 4,5 million units.
What does the agreement mean for the Dunlop brand in Europe?
During the transition, Goodyear will continue to produce Dunlop tires and supply them to SRI. This will allow Sumitomo to strengthen its presence in the European market while adjusting its distribution network. In addition, Goodyear will retain the rights to the Dunlop brand in the motorcycle tire segment in Europe and Oceania.
Impact on the tire market: present and future
This move marks a milestone in the tire market, streamlining Goodyear’s portfolio and strengthening SRI as a key player in the industry. With annual sales of $532 million in consumer tires and $201 million in commercial tires, the integration of Dunlop under SRI could redraw the competitive landscape.
For Goodyear, the proceeds from the transaction will help reduce leverage and fund strategic initiatives. However, an impact on operating income is anticipated following the end of the transition agreement.
